The Position:
Job Type: Regular, Full-Time, Exempt    
Reports To: CFO 
Location: Remote 
Compensation Range: $180,000 - $230,000/year (Based on experience and location)

The Director of Legal Affairs and Compliance will be a strategic and business-minded legal leader to oversee corporate governance, compliance, employment law, and commercial transactions. This role will be instrumental in mitigating risk, ensuring compliance, and managing software/SaaS contracts while supporting our client’s continued growth in the VC-backed tech space.
The Director of Legal Affairs & Compliance will work cross-functionally with leadership teams, investors, and external counsel to ensure legal and regulatory compliance across multiple jurisdictions. Corporate legal experience, deep expertise in SaaS contracts, and a strong background in VC-backed companies are desired attributes.

What You’ll Do (Key Responsibilities):
Corporate & VC-Backed Compliance:
  • Oversee corporate governance, including entity management.
  • Support legal aspects of M&A, fundraising, and strategic transactions.
  • Ensure compliance with regulatory filings, stockholder agreements, and corporate policies.
Employment Law & Compliance:
  • Provide legal guidance on U.S. and international employment laws, including the classification of workers (e.g., full-time vs. contractor status).
  • Develop and oversee compliance programs to ensure adherence to labor laws, data protection, and industry regulations.
  • Monitor legal trends in gig economy laws, independent contractor compliance, and labor regulations.
  • Partner with HR to ensure compliant hiring, onboarding, and termination processes.
SaaS Contracts & Commercial Transactions:
  • Draft, negotiate, and manage a variety of commercial agreements, including SaaS contracts, vendor agreements, customer agreements, and NDAs.
  • Advise on data privacy (CCPA, GDPR), intellectual property, and software licensing.
  • Collaborate with sales, finance, and product teams to streamline contract processes and mitigate.
Intellectual Property Protection:
  • Ensure any agreement the Company enters into properly protects IP.  This includes employment, contractor, vendor, partner, and customer agreements. 
Regulatory & Risk Management:
  • Develop and implement compliance frameworks for software/SaaS business operations.
  • Monitor and advise on regulatory changes affecting the SaaS industry and workforce management space.
  • Lead training and policies on risk mitigation, data security, and legal best practices.

What You’ll Need (Qualifications & Experience):
  • Juris Doctor (JD) degree from an accredited law school.
  • 6+ years of legal experience, preferably in corporate law, employment law, and SaaS contracts.
  • Prior experience in a VC-backed tech company, SaaS, or workforce technology is highly preferred.
  • Deep understanding of corporate governance, securities law, and venture capital transactions.
  • Strong background in employment law and workforce compliance (e.g., contractor classification, labor laws).
  • Experience drafting and negotiating software/SaaS agreements, commercial contracts, and data privacy policies.
  • Knowledge of GDPR, CCPA, and other data protection regulations.
  • Strong business acumen with the ability to balance legal risk and business priorities.
  • Excellent communication, negotiation, and stakeholder management skills.
